Use this process to submit a NEW regulatory filing through FedEZFile.
Click Create Filing on the left of the FedEZFile Home page.
The Create Filing pop-up screen appears. To navigate through the screens and complete the filing information, click Next at the bottom of each screen, OR use the menu on the left side. On each screen an asterisk indicates a required item.
DETAILS
On the Details page complete:
Type:
- Final Filing – A new filing submitted for review intended to be in its complete and final form.

Other -A new filing to submit Determination documents. Determinations are usually questions or requests for a determination by the Reserve Bank and/or the Board about whether a proposed transaction or fact situation would require regulatory approval, is consistent with regulatory requirements, or is so novel or unusual that it requires review by Reserve Bank and/or Board staff with the appropriate expertise. You may be directed to upload the complete application or notice once the initial review is complete, at which time the filing will be converted to a Final Filing. Alternatively, you may be directed to initiate a new filing, a Final Filing, and upload the complete application or notice under the new filing ID, or you may be informed that the results of the review indicate that no additional filing is needed. Filings under the Other type include:
- a branch closure, consolidation, or relocation notice;
- a Change in Bank Control Act or Bank Holding Company Act control question; or
- a permissible nonbanking activity question.
Contact your local Reserve Bank if you have questions about this type of filing.

Pre-Filing - Submissions pursuant to SR Letter 12-12/CA 12-11, which describes the formal process for requesting guidance from the Federal Reserve regarding bank and nonbank acquisitions and other proposals. The filer will receive feedback on the proposal, and the filing will be closed out. No further documents can be externally added to the record. A new filing must be established, as the Pre-Filing will not be converted to a Final Filing.
Reserve Bank Location – appropriate Federal Reserve District to receive the submission. Contact your local Reserve Bank if you have questions. Filings can be redirected by the Reserve Bank with which you filed if an incorrect selection is made.
Contact Entity- prepopulated with the person logged into FedEZFile.
Contact Name - prepopulated with the person logged into FedEZFile.
Contract Deadline - if applicable.
Transaction Description or Proposal -Enter a brief description. The field allows for a maximum of 4,000 characters including spaces, punctuation, and special characters.
After completing all of the required fields, click Next at the bottom of the page or use the left navigation bar to move to the Sections page.

SECTIONS
On the Sections page you will provide information about the applicant (or notificant) and the type of filing being submitted. You will need to identify at least one banking transaction in the application or notice (there may be multiple transactions), enter information about the applicant, the target (if applicable), and the nature of the banking transaction(s) for which the applicant is seeking regulatory approval. For example, if the filing is by a state member bank applying to establish a domestic branch office, the applicant is the state member bank, no target exists, and, after you select Bank as the applicant organization type, you will select Branch (Domestic) for the filing type. Consult, as necessary, with Reserve Bank staff to confirm the applicant(s), target(s), and filing type(s) information that should be entered.
The steps on this page vary depending on the type of applicant as described below.
A - EXISTING APPLICANT THAT HAS BEEN ASSIGNED AN RSSD ID.
B - INDIVIDUAL OR NONBANK APPLICANT THAT WILL NOT BE ASSIGNED AN RSSD ID.
C - PROPOSED BANKING ORGANIZATION APPLICANT THAT HAS NOT BEEN ASSIGNED AN RSSD ID.

A. EXISTING BANKING ORGANIZATION APPLICANT or OTHER ENTITY THAT HAS BEEN ASSIGNED AN RSSD ID Click Add Section. A new row will be added to the page. Complete each item as described below. Applicant Entities - Use the RSSD radio button to enter the applicant’s RSSD ID or use the TEXT radio button to search for the applicant by name. Repeat as needed to add additional applicants. You may include multiple applicants in one field box, as long as they all are parties to the specified banking transaction. For example, if a multi-tiered banking organization proposes to acquire a bank, applicants will include the top-tier company and, potentially, some or all of its subsidiary companies.
If you make a mistake, you can click the X next to the entity to delete it from the proposal.
Target Entities - Use the RSSD radio button to enter the target’s RSSD ID or use the TEXT radio button to search for the target by name (if applicable).
Repeat as needed to add additional targets. You may include multiple targets in one field box, as long as they all will be targets associated with the specified banking transaction. For example, if an applicant banking organization applies to acquire a multi-bank banking organization, the top-tier bank holding company, its subsidiary bank holding companies, and all of its bank subsidiaries can be considered targets.
If you make a mistake, you can click the X next to the entity to delete it from the proposal.
If the target does not have an RSSD ID, refer to Appendix 1 to this QRG.
Applicant Organization Type - Select the appropriate applicant organization type from the dropdown

Filing Type -Select the appropriate type of proposal from the dropdown.
Detailed Type - This dropdown is contextual and will only appear if there are additional options required to accurately define the filing type.

Disregard the checkboxes below the Section row(s). After completing all required fields, click Next at the bottom of the page or use the left navigation bar to move to the Other Filing Info screen. |

B. - INDIVIDUAL or NONBANK APPLICANT THT WILL NOT BE ASSIGNED AN RSSD ID
This option will most frequently apply to a filing under the Change in Bank Control Act by an individual or nonbank entity such as a testamentary trust. Select the checkbox: Applicant is an individual or nonbank entity without an RSSD ID and is not seeking an RSSD ID. (item 1 in the screen shot below). This selection will NOT trigger the Reserve Bank to request a permanent RSSD ID for the applicant. Click Add Section (item 4 in the screen shot below).
A new row will be added to the page. Complete each item as described below.
If the target does not have an RSSD, check the box for Target is a financial institution that does not exist in the National Information Center (refer to Appendix 1). Applicant Organization Type - Select the appropriate applicant organization type from the dropdown:
Filing Type - Select the appropriate type of proposal from the dropdown.
Detailed Type - This dropdown is contextual and will only appear if there are additional options required to accurately define the filing type.
Expedited - Applies only to those filing types for which expedited processing is allowed by regulation.
Click Add Section to add another section if applicable.
If you make a mistake, you can click the X at the end of any section row to delete it.
You will be required to enter a contact for the filing (item 3 in the screen shot above). This can be either the individual/nonbank entity, or a third-party contact such as a law firm submitting the filing. Click Add Contact and choose a contact.
If the contact does not yet exist in FedEZFile, click Create Entity/Individual (item 2 in the screen shot above) and create the contact. Complete the information on the entity/individual in the pop-up window (see screen shot below) and click Submit. Note: If entering contact information for individuals, please keep in mind that email addresses must be unique. Shared or centralized email addresses cannot be entered for multiple individuals who are notificants in a filing. Once the contact is created, you will return to the Sections screen. Now, you must add this new contact by clicking the Add Contact button (item 3 in the screen shot above) and selecting the contact you just created.
After completing all of the required fields, click Next at the bottom of the page or use the left navigation bar to move to the Other Filing Info page. |

C. PROPOSED BANKING ORGANIZATION APPLICANT THAT HAS NOT BEEN ASSIGNED AN RSSD ID
Select the checkbox: Applicant is a financial institution that does not exist in the National Information Center. (item 1 in the screen shot below). This selection will trigger the Reserve Bank to request a permanent RSSD ID for the applicant. This option will most frequently apply to applicant entities that will become subject to Federal Reserve supervision, such as a newly formed entity proposing to become a bank holding company or savings & loan holding company or a de novo state member bank in organization. Click Add Section. (item 4 in the screen shot below).
A new row will be added to the page. Complete each item as described below.
Applicant Entities - Do not complete.
Target Entities - Use the RSSD radio button to enter the RSSD ID for the target or use the TEXT radio button to search for the target by name (if applicable). Repeat as needed to add additional targets. You may include multiple targets in one field box, as long as they all will be targets associated with the specified banking transaction. For example, if an applicant banking organization applies to acquire a multi-bank banking organization, the top-tier bank holding company, its subsidiary bank holding companies, and all of its bank subsidiaries can be considered targets.

Complete the information on the Financial Institution in the pop-up window (see screen shot below) and click Submit. If you received a message that your entity already exists, please cancel this screen and enter that entity as the Contact (item 3 in the screen shot). Once this institution has been created it will bring you back to the Sections screen. Now, you must add this new institution by clicking the Add Contact button (item 3 in the screen shot above) and selecting the institution you just created. If both the Applicant and Target are requesting RSSD IDs, please enter both under Add Contact.
After completing all required fields, click Next at the bottom of the page or use the left navigation bar to move to the Other Filing Info screen. |

OTHER FILING INFO
On the Other Filing Info page, you will specify the Filing-Level Institution.
In most instances, this will be the same as the Applicant Entity provided on the Section page. In multi-tiered organizations where more than one holding company has a filing requirement, this should be the operational holding company.
If Applicant is type B (Individual or Nonbank Applicant That Will Not Be Assigned an RSSD ID), enter the name of the target institution.
If Applicant is type C (Proposed Banking Organization Applicant That Has Not Been Assigned an RSSD ID), leave blank.
Click Next at the bottom of the page or use the left navigation bar to move to the Documents page. |

DOCUMENTS
Use the Documents page to upload all documents related to the filing. FedEZFile will accept Word, Excel, and PDF files.
Files may not be password protected. The documents must be under 50MB, not contain any special characters in the document name, and not be zip files. The system will scan the documents for viruses and alert the user of any viruses or incompatible document types. Please note: you must upload at least one document in order to submit or save the filing.
To add more documents, click Add Document and repeat steps 1-3.
Click the checkbox to confirm - The uploaded document(s) are not password protected (item 4 in the screen shot below).
If you make a mistake, you can click the X at the end of any document row to delete it.
If you are unable to complete the submission at this time, you may choose SAVE AS PRELIMINARY UNSUBMITTED and return at a later time to finalize. The filing must be submitted with in seven calendar days from initiation, or it will be deleted.
If you are ready to finalize your submission, click SUBMIT in the bottom right corner of the screen.
After clicking Submit, click YES to attest that you are acting on behalf of the selected financial institution or individual. Once the submission is complete, a confirmation message with the filing number will appear.
Select CLOSE to return to the FedEZFile Home page. |

APPENDIX 1
Target is a financial institution that does not exist in the National Information Center.
On the Sections page, check the box Target is a financial institution that does not exist in the National Information Center (item 1 in the screen shot below).
This selection will trigger the Reserve Bank to request a permanent RSSD ID for the target.
You will be required to enter a contact for this filing. Click the Create Entity/Individual button (item 2 in the screen shot above) and create the new Financial Institution which will be requesting an RSSD ID. Complete the information on the Financial Institution in the pop-up window and click Submit (see screen shot below). Once this institution has been created, it will bring you back to the Sections screen (above). Now, you must add this new institution by clicking the Add Contact button (item 3 in the screen shot above) and selecting the institution you just created. If both the Applicant and Target are requesting RSSD IDs, please enter both under Add Contact.
