Applications and notices are required to be filed with the Federal Reserve by state member banks (SMB), bank holding companies (BHC), financial holding companies (FHC), savings and loan holding companies (SLHC), foreign banking organizations and certain entities subject to Federal Reserve supervision and certain banking entities before or after engaging in a variety of transactions and activities. Additionally, individuals may be required to file notice to acquire a controlling interest in these organizations or engage in certain banking-related activities. Each section below describes typical filing requirements related to each filing type, including required information, processing timeframes, and decision factors. Information for other filing types will be added when available. Many filings can be submitted via forms, which are available on the Board’s website. In the course of reviewing a filing, the Federal Reserve may, as appropriate, request additional information from the filer to enable the Federal Reserve to evaluate the proposal in accordance with the relevant statutory and regulatory factors. The timeframes represent the normal processing period. However, the processing period may be extended in certain cases. Prior to submitting an application or notice, filers are encouraged to contact the appropriate Reserve Bank to discuss their proposal.
